ATOM REWARDS “REFER A FRIEND”

Offer Terms

This refer a friend promotional offer (“Refer a Friend Offer”) was created to reward members for inviting your friends and family (“Your Invited Friends”) to use the Atom Tickets app (the “App”). These terms contains important information about the Refer a Friend Offer. For our Canadian users and those who refer a friend in Canada, the "Important Legal Notice" section below contains information specific to Canada. Please review it carefully. Unless otherwise defined herein, all capitalized terms have the meaning as defined in the Atom Rewards Program Terms.

Please note that Atom Tickets reserves the right, in its full discretion, to modify or end this Refer a Friend Offer at any time without notice.

a. Refer a Friend Offer Eligibility. You are eligible to participate in the Refer a Friend Offer if (i) you are an App user, are over 13 years of age, and have or create a valid Atom account; (ii) you agree to provide Atom with personal information about yourself and/or Your Invited Friends, including names and phone numbers; and (iii) you agree to receive communications from Atom with regard to your participation in the Refer a Friend Offer and you allow Atom Tickets to communicate with Your Invited Friends about your participation in the Refer a Friend Offer.

Any information collected from you or Your Invited Friends as part of the Refer a Friend Offer will be subject to Atom’s Privacy Policy.

b. Refer a Friend Offer – United States Users. If you are in the United States, you will be eligible to receive a referral reward in the form of a single credit valid for one-time use in the App towards any standard-format ticket up to $20 (“Referral Reward”) only if all of the following occur:

1. You have authorization to allow and you allow Atom to send an invitation to Your Invited Friends via text or e-mail, using the phone numbers or e-mail addresses of Your Invited Friends in your phone’s address book;

2. Three (3) of Your Invited Friends, using the link that Atom sends to them on your behalf, create a valid account and make a qualifying purchase to see a movie through the App (“Join”), before the expiration of the invitation as described below. Atom will determine, in its sole discretion, if your invitation was used by Your Invited Friends to Join and if it was used before expiration of the invitation. A qualifying purchase is a purchase of at least one (1) ticket that is not cancelled or refunded; and

3. The three (3) Invited Friends who Join are new App users. For clarity, you cannot be one of Your Invited Friends. Atom will determine, in its sole discretion, whether Your Invited Friends are new App users.

In the United States, invitations and/or Referral Rewards will expire as follows:

1. A referral invitation is eligible for seven (7) days. If all three (3) of Your Invited Friends do not Join within seven (7) days, you are not eligible for a Referral Reward, even if Your Invited Friends later Join.

2. You can resend an invitation to Your Invited Friends. If you send such an invitation within the initial seven (7) day period, it will have the same expiration date as the original invitation. If you send another invitation after the expiration of the seven (7) day window, it will begin a new seven (7) day window during which you will receive credit if Your Invited Friend Joins, and you will be eligible only for any Referral Reward offered at the time that you send the later invitation.

3. If not used by you, earned Referral Rewards will expire sixty (60) days from the date that they are earned.

In the United States, you may redeem your Referral Rewards as follows:

1. Once three (3) of Your Invited Friends Join, you will get the Referral Reward that was offered at the time you sent the invitations. You may accrue up to one hundred (100) Referral Rewards at any given time.

2. Your Referral Reward will be delivered or available in-app approximately seven (7) days after the last of the three (3) of Your Invited Friends Joins and will be valid for 60 days (if you don’t use it within 60 days, it will expire and be void).

3. Earned Referral Rewards will be automatically applied during checkout when applicable to a single standard-format ticket in your App order up to $20 – if your ticket is more, you must pay the difference, and if your ticket is less you are not entitled to any additional credit.

4. You may not apply earned Referral Rewards to gift cards, tax, or any other transaction costs.

5. You will be able to track the status of your invites. You will also be able to track the number and type of Referral Rewards that you have earned but not yet redeemed and those that you have previously redeemed.

c. Refer a Friend Offer – Canadian Users. If you are in Canada, you will be eligible to receive a referral reward in the form of a single credit valid for one-time use in the App towards any single concession order up to $5 (“Referral Reward”) only if all of the following occur:

1. You have authorization to allow and you allow Atom to send an invitation to Your Invited Friend via text or e-mail, using the phone numbers or e-mail addresses of Your Invited Friends in your phone’s address book;

2. One (1) of Your Invited Friends, using the link that Atom sends to them on your behalf, creates a valid App account and makes a qualifying purchase to see a movie through the App (“Joins”) before the expiration of the invitation, as described below. Atom will determine, in its sole discretion, if your invitation was used by Your Invited Friend to Join and if it was used before expiration of the invitation. A qualifying purchase is a purchase of at least one (1) ticket that is not cancelled or refunded; and

3. Your Invited Friend who Joins is a new App User. For clarity, you cannot be Your Invited Friend. Atom Tickets will determine, in its sole discretion, whether Your Invited Friend is a new App user.

In Canada, invitations and/or Referral Rewards will expire as follows:

1. A referral invitation is eligible for seven (7) days. If Your Invited Friend does not Join within seven (7) days, you are not eligible for a Referral Reward, even if Your Invited Friend later Joins.

2. Your Referral Reward will be delivered or available in-app approximately seven (7) days after Your Invited Friend Joins and will be valid for 60 days (if you don’t use it within 60 days, it will expire and be void).

3. Earned Referral Rewards will be automatically applied during checkout when applicable to a single concessions item in your App order up to $5 – if your concessions item is more, you must pay the difference, and if your concessions item is less you are not entitled to any additional credit.

4. You may not apply earned Referral Rewards to gift cards, tax, or any other transaction costs.

5. You will be able to track the status of your invites. You will also be able to track the number and type of Referral Rewards that you have earned but not yet redeemed and those that you have previously redeemed.

c. Refer a Friend Offer Restrictions. Referral Rewards cannot be transferred, substituted, combined with other discounts, redeemed for cash, or refunded. Each Referral Reward is valid for one-time use only. The Refer a Friend Offer is not valid for corporate accounts. Atom may immediately void your Referral Rewards or terminate your account if you offer Your Invited Friends anything of value, financial or otherwise, to Join.

Currently, the Refer a Friend Offer is only available on our iOS and Android Apps. Referral Rewards, requirements, and redemption may vary based on your location.

If You engage in any prohibited uses or otherwise violate the Atom Tickets Program Terms or the Atom Tickets Terms of Use, you may, at Atom’s sole discretion, be prohibited from redeeming any future offer or may have your Atom Rewards Program membership, Rewards and Atom account terminated. Any attempt by you to deliberately undermine the legitimate operation of the Refer a Friend Offer may be a violation of civil and/or criminal law, and, should such an attempt be made, Atom reserves the right to seek damages to the extent permitted by law.

Atom reserves the right to cancel, suspend, and/or modify the Refer a Friend Offer and/or any Referral Reward on a going forward basis at any time and for any reason. Please check back periodically for changes. Your continued use of the Refer a Friend Offer after the changes become effective constitutes your binding acceptance of such changes. If a change to the terms materially modifies your rights or obligations, we will make an effort to notify you of the change, such as by sending you a text or e-mail to the phone number or e-mail address we have on file for you, or presenting a pop-up window or other notification to you through the App.

d. IMPORTANT LEGAL NOTICE. In order to comply with Canada's privacy and strict anti-spam laws (which are different, in many respects, from those in the United States), if you or any of Your Invited Friends are Canadians or in Canada, Atom requires that you:

1. Only refer individuals for whom you have permission under Canada's privacy laws (which may be express or implied) to allow Atom to send them an invitation by text or e-mail to use the App; and

2. Only refer individuals with whom you have a "personal" or "family" relationship as defined below under Canada's anti-spam laws which, as noted in the "Cautions" below, is a smaller group than you might otherwise conclude based on the ordinary meaning of "friends" and "family" as used in everyday speech.

You have a "personal relationship" with someone only if: (a) you have had direct, voluntary, two-way communications with the individual and (b) it would be reasonable to conclude that you have a personal relationship with the individual taking into consideration any relevant factors such as (i) the sharing of interests, experiences, opinions and information in the communications, (ii) the frequency of the communications, (iii) the length of time since you last communicated with the individual and (iv) whether you have met the individual in person. CAUTION: Canada's anti-spam regulator has stated that (a) using social media or sharing the same network does not necessarily reveal a "personal relationship" under Canada's anti-spam laws and (b) the mere use of buttons available on social media websites (such as clicking on "like", voting for or against a post, accepting someone as a "friend", or clicking to "follow" someone) will generally be insufficient to constitute a personal relationship.

You have a "family relationship" with someone only if: (a) you are related to that individual through marriage, common-law partnership or any legal parent-child relationship and (b) you and the individual have had direct, voluntary, two-way communications. CAUTION: This definition does not include siblings, cousins, aunts, uncles, grandparents or great grandparents. But such individuals may qualify under the definition of "personal relationship" above. Furthermore, the two-part definition may even negate the "family relationship" of certain spouses and certain parents and their children where the communications are indirect, involuntary or one-way.
